Terms of a Foreign Trade Contract
Before drafting, the parties define the goods or services, quantity, price, currency, schedule, place of delivery and acceptance procedure. For goods, an Incoterms® 2020 rule is selected with the precise geographical point and transport, insurance and customs costs are allocated. For a service, the result, period, delivery format and document confirming performance are described.
The payment method is then fixed: advance payment, stage payments, a documentary instrument or payment after acceptance. The contract terms should correspond to the actual movement of goods and funds so that the bank, customs and accounting use the same information.

Before signing, the commercial manager fixes the goods or service, price, currency, payment schedule and term; the logistics specialist fixes the delivery rule and place; the accountant fixes the source documents; and the lawyer checks the parties' authority and contractual wording. Documents, Delivery and Foreign-Currency Settlements
If the carrier, border crossing point or delivery period changes in 2026, the manager first determines whether a new specification or notice under the existing agreement is sufficient. The lawyer documents only the necessary change. This allows the commercial part of the transaction to continue without creating several conflicting versions.
The director designates a backup signatory and access procedure for final contracts and appendices in advance. The counterparty's bank details are confirmed through a separate channel before the first or changed payment. The responsible employee retains evidence of the review together with the documents for the specific shipment.
Before work begins, UBC specialists identify possible inconsistencies: different product names, impractical acceptance terms or a foreign template that lacks Ukrainian currency provisions. The accountant receives a complete accounting package, while the commercial manager uses it as the basis for the next specification under the same contract.

Applicable law, contract language, claims procedure and dispute-resolution forum are agreed separately. These provisions are selected with regard to the counterparty's country, place of performance and the cost of future enforcement.

Amendments are made in a working version or comments table so that the parties can discuss specific clauses and move quickly to a final text.
