ELECTRONIC CONTRACTS AND DIGITAL EVIDENCE

ELECTRONIC CONTRACTS AND DIGITAL EVIDENCE

An electronic contract allows B2B transactions, website sales and receipt of payment without paper copies where the parties have agreed the terms and signing method. The Law of Ukraine "On Electronic Commerce" defines an electronic contract as an agreement between the parties in electronic form.

For a business owner, the important evidence is specific: the agreed text, the signatory, the order, payment and performance. UBC prepares the contractual package for the client's actual sales model.

Contract Form, Signature and Parties' Consent

An electronic contract may be concluded using QES, an electronic signature with a one-time identifier and other methods provided by law and agreed by the parties. Law No. 2155-VIII establishes that a qualified electronic signature has the same legal effect as a handwritten signature. Law No. 851-IV defines an electronic original as an electronic copy containing the mandatory particulars and the appropriate electronic signature.

In a B2B contract it is useful to identify authorised signatories, official email addresses, file format, the procedure for exchanging signed copies and the moment when the contract takes effect. For regular supplies, the master agreement remains in force while the price, quantity and delivery period for a particular batch are recorded in an order or specification.

For certain transactions, the law prescribes a special form or additional requirements. The legal structure is therefore selected for the particular goods, services, property and parties. UBC can prepare an electronic form of contract together with rules for signing and delivering documents to the counterparty.

After signing, the parties retain the final file together with the electronic-signature data. Where the contract has annexes, specifications or invoices, the text establishes their link to the principal document. The authority of an authorised employee is documented separately so that the counterparty can immediately understand who may agree commercial terms and sign documents.

Offer, B2B and Evidence of Performance

For website sales, before placing an order the buyer can see the seller, goods or services, price, payment, delivery and offer terms. The system retains the version of the terms, order date, contents of the purchase and method used to confirm consent. The payment document, delivery note, acceptance certificate or electronic notice completes the evidence file for the particular sale.

Correspondence between companies may also record agreements where the participants, subject matter, price and consent of authorised persons are clear from it. For material supplies, it is preferable to specify official addresses and the approval procedure in the master agreement. This separates managers' working communications from legally significant orders and changes to terms.

A marketplace or payment platform operates under its own agreement with the seller. The business needs to understand who is the seller to the buyer, who receives the money, who processes refunds and which document confirms payment to the seller. These terms are directly relevant to accounting and customer claims.

For subscriptions or recurring services, the offer separately sets the payment period, next charge date, method of terminating the service and point at which a tariff change takes effect. The system retains the version of the terms accepted by the particular customer. This gives the accounts team and manager one set of data covering the order, payment and service period.

Document Package for Actual Sales

For B2B, UBC can prepare a master agreement, specification, electronic-correspondence procedure, QES provisions and an acceptance-certificate form. For an online shop, the package usually includes the offer, seller information, payment, delivery, returns, personal-data provisions and buyer notices. The client can order the complete package or individual documents.

To begin, it is sufficient to describe the goods or services, type of buyers, payment method, delivery, acceptance procedure and the electronic service through which the parties exchange documents. An existing contract, sample order and actual correspondence provide the lawyer with a basis for adapting the text to real sales.

The cost depends on the number of contracts, languages, sales channels, payment services and additional forms. Once drafting is complete, the director receives working documents for concluding transactions, receiving payment and evidencing performance. The client's technical specialist implements the agreed fields, buttons and notices on the website.

The signed file, invoice, payment, delivery note or acceptance certificate is stored in one electronic transaction file. For online sales, the order number, version of the offer and buyer notification are added. This arrangement simplifies accounting, handling of claims and repeat sales to the same customer.
